This Agreement governs every Buyer’s access, activity, and rights on the XB2BX global marketplace — covering B2B, B2C, wholesale, retail, digital services, and professional services across 180+ countries. It protects Buyer rights, sets platform obligations, and defines the legal framework for all commercial transactions.

By registering as a Buyer, placing any Order, or accessing any service on XB2BX.COM, you unconditionally accept all terms of this Agreement. This is a legally binding contract enforceable under the laws of England & Wales and applicable international law. Ignorance of these terms does not constitute a defence.

§ 01

Preamble & Scope

Foundation

This Global Buyer Agreement ("Agreement") is a legally binding contract between the buyer ("Buyer", "you", or "your") — whether an individual consumer, sole trader, business entity, corporation, or institutional purchaser — and XB2BX LTD, registered in England and Wales ("XB2BX", "we", "us", or "our"), operator of the global digital marketplace at xb2bx.com (the "Platform").

This Agreement applies to all Buyer activity on the Platform across every category: B2B wholesale and bulk trade, B2C retail, digital goods and software, professional and freelance services, logistics and freight, manufacturing procurement, and any future categories introduced on the Platform.

XB2BX operates as a marketplace facilitator connecting Buyers with independent Sellers. While XB2BX provides infrastructure, payment facilitation, dispute resolution tools, and Buyer Protection mechanisms, the primary commercial contract for any transaction is between the Buyer and the relevant Seller. XB2BX is not the seller of record in any transaction unless explicitly stated.

This Agreement becomes binding upon: (i) completing Buyer registration; (ii) browsing or searching the Platform; (iii) placing any Order; or (iv) making any payment through XB2BX. Acceptance is continuous and irrevocable while your account remains active.

§ 02

Definitions

Foundation
"Platform"The XB2BX digital marketplace, all associated APIs, mobile applications, seller dashboards, and tools accessible at xb2bx.com.
"Buyer"Any registered person or entity that searches, browses, places Orders, or purchases goods or services through the Platform.
"Seller"Any registered individual, business, or entity that lists and sells goods or services on the Platform.
"Order"A confirmed purchase request placed by a Buyer for a Seller’s Listing, which becomes binding on both parties upon XB2BX system confirmation.
"Listing"Any product, service, digital good, lot, tender, or offer published by a Seller on the Platform for sale or trade.
"Transaction Value"The total gross confirmed commercial value of a completed trade between Buyer and Seller, inclusive of goods or services.
"Escrow"A third-party holding arrangement whereby Buyer funds are secured by XB2BX or its designated payment partner prior to Seller fulfilment and release.
"Buyer Protection"XB2BX’s programme guaranteeing eligible Buyers a refund or remedy where a Seller fails to fulfil, delivers defective goods, or commits material misrepresentation.
"KYC"Know Your Customer — the identity verification process required for certain transaction thresholds, jurisdictions, or regulated categories.
"Personal Data"Any information relating to an identified or identifiable natural person as defined under applicable data protection law including UK GDPR and EU GDPR 2016/679.
"Force Majeure"Events beyond a party’s reasonable control including natural disasters, pandemics, war, cyber attacks, government orders, or critical infrastructure failure.
"Prohibited Conduct"Actions by a Buyer that violate this Agreement, applicable law, Platform policies, or the rights of Sellers, XB2BX, or third parties.
§ 03

Buyer Eligibility & KYC Verification

Eligibility Requirements
  • You must be at least 18 years of age or the legal age of majority in your jurisdiction, whichever is higher.
  • Business Buyers must be validly incorporated or legally operating entities under the laws of their jurisdiction.
  • You must possess full legal capacity to enter into, perform, and be bound by commercial contracts.
  • Neither you nor your entity may be subject to international trade sanctions maintained by the UN, EU, UK HM Treasury, US OFAC, or equivalent authority.
  • You must hold all licences, permits, and import authorisations required to purchase the goods or services you intend to order.
KYC Requirements
Business Buyers

  • Bank account details for refund purposes
  • Sector-specific import licences where required
Individual Buyers
  • Government-issued photo ID (passport or national ID)
  • Proof of address (utility bill, within 90 days)
  • Payment method verification
  • Additional documentation for high-value orders
KYC is triggered for orders exceeding USD 10,000, purchases of regulated or licensed goods, Buyers in high-risk jurisdictions, and where required by applicable AML/CFT law. Failure to complete KYC within 7 days will result in Order cancellation and fund return.
§ 04

Buyer Account & Security

Account
Account Obligations
  • You are solely responsible for maintaining the confidentiality of your account credentials. Accounts may not be shared, sold, or transferred to any third party.
  • You must enable multi-factor authentication (MFA) on your Buyer account. Failure to do so may restrict access to certain purchasing and payment features.
  • All account information — including name, address, payment methods, and contact details — must be accurate, current, and kept up to date.
  • Any suspected unauthorised access, security breach, or account compromise must be reported to security@xb2bx.com within 24 hours of discovery.
  • XB2BX will never request your password by email, phone, or unsolicited communication. Report any such requests immediately.
Account Integrity

Each Buyer may hold only one registered account. Creating multiple accounts to circumvent restrictions, exploit promotions, or evade enforcement actions is prohibited and will result in all associated accounts being permanently suspended. XB2BX reserves the right to merge accounts suspected of being operated by the same person or entity.

§ 05

Platform Access & Acceptable Use

Access

XB2BX grants Buyers a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for the purpose of purchasing goods, services, and digital products from registered Sellers. This licence does not extend to commercial scraping, data harvesting, resale of Platform access, or any use that competes with XB2BX.

  • Searching, browsing, and comparing Seller listings and prices.
  • Placing Orders, making payments, and managing your purchasing history.
  • Communicating with Sellers through XB2BX’s official messaging system.
  • Submitting authentic reviews and ratings for completed transactions.
  • Requesting quotes, negotiating terms, and submitting purchase enquiries for B2B procurement.
Prohibited Uses
  • Automated scraping, crawling, or harvesting of Platform data without written consent from XB2BX.
  • Using the Platform to conduct competitor intelligence operations or to reverse-engineer XB2BX technology.
  • Circumventing, disabling, or attacking any Platform security, access control, or fraud detection mechanism.
  • Posting false, defamatory, or misleading reviews intended to harm a Seller’s reputation unfairly.
§ 06

Purchasing, Orders & Contract Formation

Order Process
Step 1 · Browse & Select
Buyer selects a Listing and reviews full product/service specifications, price, shipping terms, and Seller policies before proceeding.
Step 2 · Checkout & Payment
Buyer completes checkout. Payment is processed and held in Escrow. Order confirmation is issued. A binding contract is formed between Buyer and Seller.
Step 3 · Seller Fulfils
Seller prepares and dispatches goods or delivers services within the agreed timeframe. Tracking information is provided on the Platform.
Step 4 · Delivery & Confirmation
Buyer confirms receipt within 48 hours. Non-confirmation after 7 days triggers automatic acceptance. Dispute window opens post-delivery.
Step 5 · Escrow Release
Funds released to Seller upon confirmation or auto-acceptance. If a dispute is raised, Escrow is held pending resolution.
Order Cancellation

Buyers may cancel an Order without penalty within 2 hours of placement, provided the Seller has not yet accepted or begun fulfilment. After this window, cancellation is subject to the Seller’s stated cancellation policy. XB2BX may approve cancellations at its discretion in cases of Seller non-response, material listing inaccuracy, or technical error.

B2B Negotiation: For wholesale and bulk procurement, Buyers may submit a Request for Quote (RFQ) directly to Sellers. Negotiated terms agreed outside the standard checkout must be formally accepted within the Platform to be covered by Buyer Protection and Escrow.
§ 07

Payment Obligations
  • Currency: Prices displayed in USD by default. Buyers may view prices in local supported currencies. All FX conversion at prevailing mid-market rate. Currency risk borne by Buyer unless otherwise agreed.
  • Taxes & Duties: Buyers are responsible for all import duties, customs fees, VAT, GST, and local taxes applicable in their destination jurisdiction. XB2BX does not collect or remit import taxes on behalf of Buyers.
  • Failed Payments: Where a payment fails after Order placement, the Order may be automatically cancelled. XB2BX will notify the Buyer. Repeated payment failures may trigger account review.
  • Chargebacks: Filing a chargeback without first utilising XB2BX’s dispute resolution process constitutes a breach of this Agreement. Abusive chargebacks will result in account suspension and potential recovery action.
§ 08

Escrow & Buyer Protection Programme

Financial

XB2BX operates an Escrow-based payment system for eligible transactions. Buyer funds are held securely by XB2BX or its designated payment partner and are not released to the Seller until the Buyer confirms satisfactory receipt or the confirmation window expires.

Buyer Protection Coverage
Buyer Protection covers: (1) Item Not Received — Seller fails to deliver; (2) Significantly Not As Described — goods materially differ from the Listing; (3) Defective Goods — goods are faulty, broken, or non-functional on arrival; (4) Seller Non-Response — Seller fails to engage in dispute resolution.
  • Claim Window: Buyers must raise a Buyer Protection claim within 30 days of confirmed delivery (or expected delivery date if non-delivered). Claims raised after this window are not eligible.
  • Evidence Required: Buyers must provide photographic evidence, tracking records, or written communication demonstrating the basis of their claim.
  • Resolution: XB2BX will adjudicate claims within 14 business days. Outcomes may include full refund, partial refund, replacement, or a finding in favour of the Seller.
  • Digital Goods: Protection applies where digital goods are demonstrably non-functional, materially different from description, or not delivered. Refunds are not available after download/activation unless defective.
Exclusions

Buyer Protection does not apply to: transactions conducted off-platform; Buyer remorse or change-of-mind; goods damaged by the Buyer after receipt; digital goods after activation where they function as described; custom-manufactured goods made to Buyer specification; and perishable goods where delay is caused by customs or Buyer-side logistics.

§ 09

Shipping, Delivery & Risk Transfer

Logistics

Unless otherwise agreed in the confirmed trade contract using Incoterms® (ICC 2020), the following default responsibilities apply to all physical goods orders:

§ 10

Returns, Refunds & Claims Handling

Legal
Statutory Rights — B2C Buyers

Consumer Buyers transacting with Sellers who are businesses enjoy full statutory rights under applicable consumer protection law. XB2BX’s policies do not limit or waive any statutory rights Buyers may have.

  • Right of Withdrawal (EU/UK): 14-day right to cancel for distance purchases of physical goods, exercisable without reason from date of receipt.
  • Faulty Goods: Right to repair, replacement, or full refund for goods that are faulty, not fit for purpose, or not as described at time of delivery.
  • Misdescribed Goods: Full refund including return shipping where goods materially differ from Listing description.
B2B Return Standards

Escalation Process
Stage 1 · Direct Resolution (Days 1–7)
Contact Seller via Platform messaging. Seller must respond within 48 hours. Most disputes are resolved at this stage.
Stage 2 · XB2BX Intervention (Days 8–21)
If unresolved, Buyer raises a formal dispute via the Platform. XB2BX reviews evidence from both parties and issues a determination. Escrow held pending outcome.
Stage 3 · LCIA Arbitration
For unresolved claims exceeding USD 5,000, binding arbitration under LCIA Rules, London. For lower-value claims, XB2BX’s determination is final and binding.
§ 11

Product Quality, Safety & Liability

Legal

XB2BX operates as a marketplace facilitator and is not the manufacturer, importer, or seller of record for any goods listed by third-party Sellers. Product liability for goods sold by Sellers rests primarily with the Seller. However, XB2BX maintains product safety standards and will act swiftly on verified safety complaints.

Buyer Obligations on Product Use
  • Buyers must verify that goods purchased comply with all applicable safety standards, import regulations, and usage laws in their destination jurisdiction prior to purchase.
  • Buyers of regulated goods (food, pharmaceuticals, electronics, chemicals) must hold all applicable licences and import permits required in their jurisdiction.
  • Buyers must use goods in accordance with manufacturer instructions and applicable safety requirements. Misuse of goods does not give rise to a Buyer Protection claim.
Product Safety Alert: If you receive goods that you believe pose an immediate safety risk, cease use immediately and report to safety@xb2bx.com. XB2BX will investigate and, where necessary, issue platform-wide safety notices or product removals.
§ 12

Prohibited Buyer Conduct

Breach of this section constitutes grounds for immediate, permanent account termination without notice, forfeiture of any pending Buyer Protection claims, civil liability to XB2BX and/or Sellers, and mandatory referral to law enforcement and relevant regulatory authorities.

  • Conducting transactions off-platform after initial contact through XB2BX to circumvent fees, Escrow, or Buyer Protection.
  • Filing fraudulent Buyer Protection claims or chargebacks in bad faith, including where goods were received as described.
  • Submitting false, defamatory, or fabricated reviews or ratings about Sellers.
  • Using the Platform for money laundering, terrorist financing, or any form of financial crime including structuring of payments.
  • Impersonating another person, company, or legal entity when placing orders or communicating on the Platform.
  • Colluding with Sellers to manipulate pricing, ratings, or reviews on the Platform.
  • Using stolen payment credentials or payment methods belonging to third parties without authorisation.
§ 13

Intellectual Property Rights

Legal
XB2BX Platform IP

All Platform technology, software, source code, databases, algorithms, user interface designs, trademarks, service marks, logos, and proprietary data systems are the exclusive intellectual property of XB2BX LTD and its licensors. Buyers receive no licence to any of these assets beyond what is strictly necessary to use the Platform for purchasing purposes.

Seller Content & Product IP

Product images, descriptions, brand assets, and technical documentation displayed in Listings remain the intellectual property of the respective Sellers or their licensors. Purchasing a product does not transfer any intellectual property rights associated with that product, including but not limited to: brand names, patents, trademarks, registered designs, and software source code.

Digital Goods Licensing

Purchase of digital goods, software licences, and digital services grants Buyers only the rights expressly stated in the applicable Licence Agreement or Listing description. Buyers may not resell, sublicence, reverse-engineer, decompile, or redistribute digital goods unless the licence explicitly permits such activities.

§ 14

Data Protection, Privacy & Buyer Rights

XB2BX processes personal data in accordance with the UK GDPR, the EU General Data Protection Regulation (2016/679), the Data Protection Act 2018, the California Consumer Privacy Act (CCPA), and all applicable equivalent legislation in the jurisdictions where it operates.

  • Right to Object: Object to processing based on legitimate interests or for direct marketing purposes.
  • Rights re Automated Decisions: Not to be subject to solely automated decisions with significant legal effect, without human review.

Data Sharing

XB2BX shares Buyer personal data only with: (i) the relevant Seller, limited to what is necessary for Order fulfilment (name, delivery address, Order details); (ii) payment processors and fraud prevention services; (iii) logistics and customs partners where applicable; (iv) regulatory and law enforcement authorities where required by law; and (v) corporate successors in the event of a merger or acquisition.

XB2BX does not sell Buyer personal data to third parties for marketing purposes. XB2BX is not an advertising platform.

§ 15

Buyer Representations & Warranties

Legal

By using the Platform and placing any Order, you continuously represent and warrant to XB2BX and to every Seller transacting with you that:

  • You have full legal capacity and authority to enter into this Agreement and to place Orders on the Platform.
  • All information you provide — including identity, payment method, and delivery address — is truthful, accurate, and complete.
  • You hold all required import licences, permits, and authorisations for the goods and services you order.
  • Your use of the Platform and receipt of Orders does not violate any applicable law, regulation, court order, or contractual obligation to any third party.
  • You are not purchasing goods for the purpose of circumventing sanctions, export controls, or trade embargoes applicable to your jurisdiction or the destination of the goods.
  • You are not insolvent, under administration, subject to winding-up proceedings, or otherwise legally incapacitated at the time of any Order.
  • All payment methods you use are legitimately yours or are used with the full authorisation of the legal owner.

These representations are continuous and must remain true throughout your engagement with the Platform. Material breach of any representation is grounds for immediate account termination and may give rise to civil or criminal liability.

§ 16

Limitation of XB2BX Liability

Platform Liability Cap

To the maximum extent permitted by applicable law, XB2BX’s total aggregate liability to any Buyer shall not exceed the greater of: (i) the total value of the specific Order or transaction giving rise to the claim; or (ii) USD 10,000. XB2BX expressly excludes liability for indirect, consequential, special, incidental, punitive, or exemplary damages, including loss of profits, business interruption, or loss of anticipated savings.

Marketplace Facilitator Disclaimer

XB2BX acts as an intermediary marketplace facilitator and is not the seller, manufacturer, importer, or distributor of any goods or services listed by third-party Sellers. XB2BX does not warrant the accuracy of Listings, the quality of goods, the performance of services, or the solvency of Sellers beyond what is expressly stated in the Buyer Protection Programme. Buyers contract directly with Sellers at their own commercial risk.

Force Majeure

XB2BX shall not be liable for any failure or delay in performance caused by Force Majeure events including natural disasters, pandemics, wars, government actions, cyber attacks, or critical infrastructure failures. XB2BX will notify affected Buyers promptly and endeavour to restore normal service as quickly as reasonably practicable.

Nothing in this section limits or excludes any rights Buyers have under mandatory consumer protection law, including the Consumer Rights Act 2015 (UK), the EU Consumer Rights Directive, or equivalent applicable legislation in the Buyer’s jurisdiction.
§ 17

Buyer Indemnification of XB2BX

You agree to fully indemnify, defend, and hold harmless XB2BX, its directors, officers, employees, agents, and successors from and against all claims, losses, damages, liabilities, penalties, fines, costs, and legal fees arising from or related to:

  • Your breach of any term of this Agreement or any applicable law.
  • Any fraudulent, abusive, or bad-faith Buyer Protection claim or chargeback you initiate.
  • Your violation of any Seller’s intellectual property rights or other legal rights.
  • Any tax, customs, or import regulatory liability arising from your purchases on the Platform.
  • Any misrepresentation in your account registration, KYC submission, or Order placement.
  • Your use of payment methods not legitimately owned or authorised by you.
§ 18

Effects of Termination
  • All active Orders will be cancelled. Eligible refunds processed within 14 business days where Sellers have not yet dispatched.
  • Open Buyer Protection claims will be closed without determination upon termination for fraud or Prohibited Conduct.
  • Your obligation to maintain confidentiality of communications received through the Platform and to comply with applicable regulatory reporting obligations survives termination.
Buyers terminated for fraud, sanctions violations, or financial crime will have their details shared with law enforcement, financial intelligence units, payment processors, and other marketplace platforms pursuant to applicable legal obligations and cross-platform fraud prevention agreements.
§ 19

Dispute Resolution & Arbitration

Buyer and Seller attempt direct resolution through Platform messaging. Both parties obligated to engage in good faith within 48 hours of dispute notification.
Stage 2 · XB2BX Mediation (Days 8–30)
XB2BX facilitates structured mediation. Both parties submit evidence. XB2BX’s determination may include fund adjustments. Binding for claims under USD 5,000.
Stage 3 · LCIA Arbitration
Claims over USD 5,000 unresolved by mediation proceed to binding LCIA arbitration in London, England. Sole arbitrator for claims under USD 500,000. Three-member panel above. English language proceedings.
Stage 4 · Consumer ADR (EU/UK Consumers)
EU/UK consumer Buyers may additionally access the European ODR Platform (ec.europa.eu/consumers/odr) or a certified ADR provider as an alternative to arbitration.
Class Action Waiver

To the maximum extent permitted by applicable law, Buyers waive the right to participate in class action lawsuits or class-wide arbitration against XB2BX. All claims must be brought on an individual basis. This waiver does not apply where prohibited by mandatory consumer protection law in the Buyer’s jurisdiction.

§ 20

Governing Law, General Provisions & Contacts

Governing Law

This Agreement and all non-contractual obligations arising in connection with it are governed by and construed in accordance with the laws of England and Wales. Subject to the arbitration clause, both parties submit to the exclusive jurisdiction of the courts of England and Wales. For consumer Buyers, this choice of law does not deprive them of the protection afforded by mandatory provisions of the law of their habitual residence.

General Provisions
  • Entire Agreement: This Agreement, together with XB2BX’s Privacy Policy, Cookie Policy, and any applicable Supplemental Terms, constitutes the entire agreement between XB2BX and the Buyer regarding Platform use.
  • Severability: If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Amendments: XB2BX may amend this Agreement with 30 days’ prior notice for material changes. Continued use after the notice period constitutes acceptance of the amended terms.
  • Waiver: Failure by XB2BX to enforce any provision of this Agreement shall not constitute a waiver of future enforcement of that provision.
  • Assignment: Buyers may not assign or transfer their rights or obligations under this Agreement without XB2BX’s prior written consent.

It supersedes all prior representations, negotiations, and earlier agreements.
