This document constitutes the complete legal framework governing your use of the XB2BX platform. It incorporates: Terms & Conditions, Terms of Service, Terms of Use, and incorporates by reference our Privacy Policy and Cookie Policy. By accessing or using any part of the Services, you enter into a legally binding contract with XB2BX LTD.
IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND MUST DISCONTINUE USE IMMEDIATELY. Continued use after the effective date of any amendment constitutes your unconditional acceptance. If you act on behalf of a legal entity, you represent that you are authorised to bind that entity.
This framework applies to all users worldwide — individual consumers, registered businesses, wholesalers, retailers, manufacturers, service providers, API users, and Facebook App users. We recommend you save or print this document for your records.

Our Services
XB2BX operates a global digital marketplace enabling B2B and B2C trade across manufacturing, wholesale, retail, and digital services sectors. The Services include the xb2bx.com website, mobile applications (iOS and Android), the Facebook Application, marketplace platform functionality, and all related tools and services.
The information provided on the Services is not intended for distribution or use in any jurisdiction where such use would be contrary to law or regulation. The Services are not tailored to comply with industry-specific regulations including HIPAA, FISMA, or GLBA. If your interactions are subject to such laws, you may not use the Services.
XB2BX reserves the right to modify, suspend, or discontinue any part of the Services at any time without liability to you. We do not guarantee uninterrupted, error-free access, and shall not be liable for any downtime or interruption beyond our reasonable control.
Eligibility & Registration
Access to the XB2BX platform is conditional upon meeting the following eligibility criteria at all times during your use of the Services:
- §Age & CapacityYou must be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater. Minors may use the Services only with written parental or guardian consent and under direct supervision.
- §Legal CapacityYou must have the legal capacity to enter into binding contracts under the laws applicable in your country of residence or incorporation.
- §Accurate InformationAll registration information you provide must be accurate, complete, current, and not misleading. You agree to promptly update your information as necessary to ensure continued accuracy.
- §Business RegistrantsBusiness registrants must provide valid company registration numbers, VAT/tax identification numbers where applicable, and proof of trading authority upon request.
- §Sanctions ComplianceYou must not be a person or entity barred from receiving services under applicable laws, including sanctions lists maintained by OFAC, HM Treasury, the EU, or the UN Security Council.
- §Account SecurityYou are solely responsible for maintaining the confidentiality of your account credentials. You must notify us immediately of any unauthorised access at policy@xb2bx.com. All activities conducted under your account are your responsibility.
- §One Account Per PersonEach user may maintain only one active account. Creating duplicate or fraudulent accounts is strictly prohibited and will result in immediate suspension of all associated accounts.
XB2BX reserves the right to verify eligibility at any stage, to request supporting documentation, and to refuse or revoke registration at our sole discretion where eligibility requirements are not satisfied.
User Representations
By using the Services, you represent and warrant that all of the following statements are true and accurate:
- §All registration information you submit is true, accurate, current, and complete, and you will maintain such accuracy throughout your use of the Services.
- §You have the legal capacity to agree to these Legal Terms, or, if you are a minor, you have obtained verifiable parental or guardian permission.
- §You will not access the Services through automated or non-human means, including bots, scripts, or other automated systems, without our express written consent.
- §You will not use the Services for any illegal, fraudulent, harmful, or unauthorised purpose.
- §Your use of the Services will not violate any applicable law, regulation, rule, or ordinance in any jurisdiction.
- §If entering into these Terms on behalf of a company or other legal entity, you confirm you have full authority to bind that entity and that the entity accepts these Terms.
Providing untrue, inaccurate, not current, or incomplete information gives XB2BX the right to suspend or terminate your account and refuse any current or future use of the Services.
Products & Listings
We make every effort to display the colours, features, specifications, and details of products available on the Services as accurately as possible. However, we do not guarantee that product descriptions, images, specifications, or other content are entirely accurate, complete, reliable, or error-free. Your electronic display may not accurately reflect actual product characteristics.
All products and listings are subject to availability. XB2BX reserves the right to discontinue any product or service listing at any time, without notice. Prices are subject to change without notice. We reserve the right to refuse any transaction or delist any product at our sole discretion.
Sellers are solely responsible for the accuracy, completeness, and compliance of their product listings, including specifications, pricing, origin, certifications, and applicable safety information. XB2BX does not independently verify every listing and shall not be liable for inaccuracies introduced by sellers.
Purchases & Payments
Accepted Payment Methods
You agree to provide current, complete, and accurate purchase and account information for all purchases. All payments shall be in British Pounds Sterling (GBP) unless otherwise stated. You agree to promptly update payment information including email address, payment method, and card expiration date so we can complete your transactions.
- §PCI-DSS ComplianceXB2BX does not store full payment card details. All payment processing is handled by our authorised PCI-DSS compliant providers. Each operates under its own privacy policy.
- §Transaction TaxesYou are solely responsible for determining, collecting, and remitting all applicable taxes, customs duties, VAT, GST, and import/export fees in connection with your transactions. XB2BX is not responsible for tax compliance on transactions between platform users.
- §Platform Fees & CommissionXB2BX charges platform fees, transaction commissions, and subscription fees as set out in our current Fee Schedule. Fees may be updated upon 30 days' notice.
- §Order RefusalWe reserve the right to refuse any order, limit quantities, and correct pricing errors at any time, even after payment has been received, subject to applicable consumer protection law.
Subscriptions
Billing & Auto-Renewal
Your subscription will continue and automatically renew unless cancelled. You consent to our charging your payment method on a recurring basis without requiring prior approval for each recurring charge, until such time as you cancel.
We offer a 30-day free trial on qualifying subscription plans. Your account will be automatically charged according to the chosen plan at the end of the trial unless you cancel before the trial period ends. Cancel at any time before the trial ends to avoid charges.
Cancellation
You may cancel your subscription at any time by logging into your account settings. Cancellation will take effect at the end of the current paid billing period. No pro-rated refunds are provided for mid-period cancellations unless required by applicable consumer protection law. Contact policy@xb2bx.com with any subscription queries.
Returns & Refund Policy
Sellers must clearly state their refund and return policies at the point of listing. Buyers are encouraged to review seller policies carefully before completing a purchase. Where a seller's policy is silent, XB2BX's default Return Policy applies, which is posted separately on the Services and incorporated herein by reference.
- §Unresolved Refund ClaimsRefund claims not resolved by the seller within 14 days of the buyer's written complaint may be escalated to XB2BX's Buyer Protection Programme.
- §Consumer RightsNothing in this section limits statutory consumer rights that cannot lawfully be excluded under applicable law in the buyer's jurisdiction, including the UK Consumer Rights Act 2015.
- §Digital ServicesRefunds for digital products or services shall be governed by applicable digital content consumer protection regulations in the buyer's jurisdiction.
Seller, Supplier & Manufacturer Obligations
All sellers, suppliers, wholesalers, and manufacturers operating on XB2BX are subject to enhanced obligations reflecting their commercial role and the trust placed in them by buyers and the marketplace ecosystem.
- §Licences & PermitsSellers must hold all licences, permits, certifications, and regulatory approvals required by law to sell the products or services they list, in every jurisdiction to which they ship or supply.
- §Listing AccuracyProduct listings must be accurate in all material respects including specifications, pricing, availability, country of origin, applicable certifications (CE, FCC, RoHS, etc.), and all required safety warnings.
- §Compliance ObligationsSellers are solely responsible for compliance with all applicable product safety, labelling, import/export control, customs, and consumer protection laws applicable to their products and markets.
- §Quality AuditsXB2BX may conduct periodic audits, request documentation, or carry out quality assurance reviews of sellers. Non-compliance may result in listing suspension pending remediation.
- §Fulfilment ObligationsSellers must maintain sufficient inventory or production capacity to fulfil accepted orders and must notify XB2BX and affected buyers promptly of any fulfilment delays or shortfalls.
- §On-Platform CommunicationsAll seller-buyer communications must remain on-platform or through XB2BX-approved channels until a transaction is complete. Off-platform solicitation to circumvent XB2BX's fee structure is strictly prohibited.
- §Anti-CounterfeitingSellers warrant that all products listed and sold are genuine, not counterfeit, not stolen, and do not infringe any third-party intellectual property rights. Suspected violations should be reported to legal@xb2bx.com.
Escrow & Buyer Protection
XB2BX provides a technology platform facilitating commercial transactions between independent buyers and sellers. XB2BX is not a party to any transaction conducted between users, save where expressly acting as a payment intermediary or escrow agent. All contracts for the sale of goods or services are formed directly between the transacting parties.
XB2BX's Buyer Protection programme covers qualifying transactions where goods are not received, are significantly not as described, or where the seller has materially breached their obligations. Protection is subject to timely reporting within 30 days of the expected delivery date and full cooperation with our investigation process.
Escrow Services
XB2BX Escrow is available for qualifying high-value B2B transactions. Funds held in escrow are released only upon confirmed delivery or mutual written agreement between the parties. Escrow disputes are subject to our internal mediation process and, if unresolved, binding arbitration under the ICC Rules.
Prohibited Activities
XB2BX operates a zero-tolerance policy with respect to fraudulent, illegal, harmful, or disruptive conduct. The Services may only be used for the purposes for which we make them available. As a user, you agree you will not:
- §List, sell, or facilitate the trade of counterfeit, stolen, infringing, or illegal goods or services of any kind, including items prohibited under trade sanctions or export control laws.
- §Misrepresent the nature, origin, quality, condition, or availability of any product or service listed on the platform.
- §Engage in price manipulation, bid rigging, collusion, shill bidding, or any other anti-competitive practice.
- §Use automated systems, bots, scrapers, or scripts to access, monitor, extract, or compile data from the platform without express written authorisation from XB2BX.
- §Transmit unsolicited commercial communications, spam, phishing content, or malicious software via the platform or to other users.
- §Attempt to circumvent, disable, reverse-engineer, or interfere with the platform's security, authentication, or integrity mechanisms.
- §Engage in transaction manipulation, including fictitious orders, artificial inflation of ratings, or fraudulent reviews.
- §Harass, threaten, intimidate, stalk, or abuse other users, XB2BX staff, or third parties in connection with platform activity.
- §Facilitate money laundering, terrorist financing, or any activity prohibited under applicable anti-financial crime legislation, including the UK Proceeds of Crime Act 2002 and the Terrorism Act 2000.
- §Impersonate any person, company, or entity, or misrepresent your affiliation with any person or organisation.
- §Copy, decompile, disassemble, reverse-engineer, or create derivative works from any part of the platform software without written permission.
- §Use the Services to compete with XB2BX or for any revenue-generating purpose outside the intended marketplace function without our express written consent.
- §Upload or transmit viruses, Trojan horses, ransomware, or any code designed to interrupt, damage, or limit the functionality of any software or hardware.
- §Delete or alter copyright or other proprietary rights notices from any Content on the platform.
Violations may result in: immediate account suspension or permanent termination; removal of listings; forfeiture of funds held in escrow; reporting to law enforcement, financial regulators, and relevant authorities; civil litigation; and criminal prosecution. XB2BX cooperates fully with law enforcement agencies globally.
User Generated Contributions
The Services may invite you to create, post, transmit, or distribute content including text, product listings, reviews, photographs, videos, comments, messages, and other materials ("Contributions"). Contributions may be viewable by other users and via third-party websites. By creating or submitting Contributions you represent and warrant that:
- §Your Contributions do not infringe any third-party intellectual property rights including copyright, patent, trademark, trade secret, or moral rights.
- §You are the creator and owner of, or hold all necessary licences, rights, consents, and permissions to submit, your Contributions.
- §You have the written consent of every identifiable individual person in your Contributions to the use of their name, image, or voice as permitted herein.
- §Your Contributions are not false, inaccurate, misleading, defamatory, libellous, or slanderous.
- §Your Contributions are not unsolicited advertising, promotional materials, pyramid schemes, spam, or mass mailings.
- §Your Contributions do not violate any applicable law or regulation in any relevant jurisdiction.
- §Your Contributions do not contain offensive content related to race, national origin, gender, sexual orientation, religion, age, or physical or mental disability.
Any Contributions in violation of the foregoing may result in termination or suspension of your rights to use the Services.
Contribution Licence
By posting Contributions to any part of the Services, you automatically grant, and represent that you have the right to grant, to XB2BX an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide licence to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part), and distribute such Contributions for any purpose — commercial, advertising, or otherwise — and to prepare derivative works of, or incorporate into other works, such Contributions, and to grant and authorise sublicences of the foregoing.
This licence applies to any form, media, or technology now known or hereafter developed, including your image, name, and voice where included. You waive all moral rights in your Contributions.
You retain full ownership of your Contributions and any associated intellectual property rights. XB2BX does not assert ownership over your Contributions. We are not liable for any statements or representations in your Contributions, for which you remain solely responsible. XB2BX has the right, at our sole discretion, to edit, redact, re-categorise, or delete any Contributions at any time without notice.
Guidelines for Reviews
Where the Services permit users to post reviews or ratings, all reviews must comply with the following criteria:
- §You should have direct, firsthand experience with the person or entity being reviewed.
- §Reviews must not contain offensive, abusive, racist, hateful, discriminatory, or otherwise objectionable language.
- §Reviews must not contain references to illegal activity or make unsupported legal conclusions.
- §You may not post negative reviews if you are affiliated with the subject's competitors.
- §You may not post false or misleading statements, or organise coordinated review campaigns.
- §Reviews must not include personally identifiable information about any individual without their consent.
XB2BX may accept, reject, or remove reviews in our sole discretion. Reviews are not endorsed by XB2BX and do not necessarily represent our views or those of our affiliates.
Mobile Application Licence
Subject to these Terms, we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the XB2BX mobile application on wireless electronic devices that you own or control, solely in accordance with these Legal Terms. You shall not:
- §Decompile, reverse-engineer, disassemble, decrypt, or attempt to derive the source code of the App, except as permitted by applicable law.
- §Modify, adapt, translate, improve, or create derivative works from the App.
- §Use the App to develop a competing product or service.
- §Remove or alter any proprietary notices, trademarks, or labels on the App.
- §Use the App to send automated queries or unsolicited commercial communications.
For Apps obtained via the Apple App Store or Google Play, the applicable App Distributor's terms of service also apply. The App Distributor is not a party to these Legal Terms and is not responsible for the App or its content.
Social Media & Third-Party Links
XB2BX offers registration and login via Facebook, X (formerly Twitter), LinkedIn, and other supported platforms. When you use social login, we may receive profile information including your name, email address, profile picture, and — in the case of Facebook — additional data you make public or explicitly grant us access to.
The Services may contain links to third-party websites, applications, or services. XB2BX is not responsible for the privacy practices, content, or security of those third parties. Inclusion of a link does not imply endorsement. Data you provide directly to third parties is not governed by this Policy.
If you use the XB2BX Facebook application, we may access your basic profile information including name, email, gender, profile picture URL, and current city. Additional permissions (friends list, check-ins, likes) are optional and individually controlled by you in your Facebook privacy settings.
Intellectual Property Rights
All intellectual property rights in the XB2BX platform — including its software, design, trademarks, trade names, domain names, databases, proprietary algorithms, Content, and Marks — are and shall remain the exclusive property of XB2BX Limited or its licensors. Nothing in these Terms grants users any right or licence to use XB2BX's intellectual property except as strictly necessary to access and use the Services.
Licence to Use Services
Subject to compliance with these Terms, XB2BX grants you a non-exclusive, non-transferable, revocable, limited licence to access the Services and download or print Content solely for your personal, non-commercial use or internal business purposes. No Content may be reproduced, republished, distributed, sold, or exploited for commercial purposes without our express prior written permission. Requests to legal@xb2bx.com.
Submissions
By sending us any Submission (ideas, suggestions, feedback) you agree to assign to us all intellectual property rights in that Submission. We own the Submission and are entitled to its unrestricted use for any lawful purpose without compensation to you.
Copyright Infringements
XB2BX operates a Notice and Takedown procedure compliant with the EU E-Commerce Directive, the UK Online Safety Act, and the US Digital Millennium Copyright Act (DMCA). If you believe any material on the Services infringes upon a copyright you own or control, submit a written notification to legal@xb2bx.com containing:
- §A physical or electronic signature of a person authorised to act on behalf of the copyright owner.
- §Identification of the copyrighted work claimed to have been infringed.
- §Identification of the allegedly infringing material and sufficient information for us to locate it.
- §Your contact information (name, address, telephone number, and email address).
- §A statement that you have a good faith belief that the use of the material is not authorised by the copyright owner, its agent, or the law.
- §A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorised to act on behalf of the copyright owner.
Repeated or deliberate infringement will result in permanent account termination and referral to relevant intellectual property enforcement authorities. Knowingly filing a false claim may expose you to liability for damages.
Privacy Policy & Data Processing
XB2BX is committed to the highest international standards of data protection. We act as Data Controller for personal data processed in connection with platform accounts, and as Data Processor for personal data processed on behalf of business users in the course of their commercial activity.
Information We Collect

- §Account Credentials Password (hashed), authentication data, contact preferences.
- §Financial Data Billing address and payment instrument details handled by our PCI-DSS compliant payment processors — we do not store card numbers.
- §Business Information Country, industry, trade and professional information.
- §Usage & Technical Data IP address, browser type, device identifiers, pages visited, timestamps, search queries, operating system.
- §Location Data Approximate location via IP; precise geolocation only with your explicit consent.
- §Sensitive Data Biometric data (identity verification only), financial/credit-worthiness data, and national identifiers — only where legally required and with explicit consent.

Most browsers allow you to control cookies through settings. Disabling certain cookies may limit platform functionality. We will provide a cookie consent mechanism to the extent required by applicable law.

Depending on your location, you have significant rights over your personal data. We respond to all valid requests within the legally required timeframes (generally 30 days, extendable to 90 days for complex requests).

International Data Transfers
As a global marketplace, XB2BX may transfer personal data to countries outside the UK and EEA. We protect all international transfers through:
- §Adequacy Decisions UK Adequacy Regulations or EU Commission adequacy decisions for the destination country where applicable.
- §Standard Contractual Clauses ICO-approved International Data Transfer Agreements (IDTAs) or EU Commission-approved SCCs as appropriate.
- §Binding Corporate Rules Where applicable within our corporate group.
- §Other Lawful Mechanisms Including explicit consent, performance of a contract, or substantial public interest where permitted.

Data Retention
We retain personal data for the duration of your account relationship with XB2BX plus any additional period required by applicable law. Upon account closure:
- §Active account data is promptly deactivated from live systems.
- §Certain records are retained for fraud prevention, legal compliance, regulatory requirements, or dispute resolution as required by law.
- §Anonymised or aggregated data (which cannot identify you) may be retained indefinitely for analytics and service improvement.
- §Data in backup archives is isolated and protected pending scheduled deletion cycles.
- §Financial transaction records are retained for the period required by applicable tax and accounting law (typically 7 years in the UK).
You may update your information directly within your account settings. Upon account termination, we will deactivate and remove your data from active systems subject to the above retention requirements.

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT ANY WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, XB2BX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE ASSUME NO LIABILITY FOR ANY: (i) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (ii) PERSONAL INJURY OR PROPERTY DAMAGE FROM USE OF THE SERVICES; (iii) UNAUTHORISED ACCESS TO OR USE OF OUR SECURE SERVERS OR PERSONAL/FINANCIAL DATA STORED THEREIN; (iv) INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES; (v) BUGS, VIRUSES, OR MALICIOUS CODE TRANSMITTED BY THIRD PARTIES; OR (vi) ERRORS OR OMISSIONS IN ANY CONTENT.
NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE LIABILITY FOR: DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE; FRAUD OR FRAUDULENT MISREPRESENTATION; OR ANY OTHER LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED UNDER APPLICABLE LAW.
Limitation of Liability
To the maximum extent permitted by applicable law, XB2BX's total aggregate liability to any user arising out of or in connection with these Terms or the use of the platform shall not exceed the greater of: (i) the total fees paid by that user to XB2BX in the twelve (12) months immediately preceding the claim; or (ii) GBP £500 (five hundred pounds sterling).
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF BUSINESS, OR LOSS OF GOODWILL — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS APPLIES TO ALL CAUSES OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE.
CERTAIN CONSUMER PROTECTION LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF SUCH LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY AND YOU MAY HAVE ADDITIONAL RIGHTS.
XB2BX is not liable for the acts, omissions, or breaches of any seller, buyer, supplier, manufacturer, or other third party using the platform, including non-delivery, defective goods, misrepresentation, or breach of contract by such parties.
Indemnification
You agree to fully defend, indemnify, and hold harmless XB2BX Limited, its directors, officers, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, penalties, fines, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- §Your Contributions, listings, or other content submitted to the platform.
- §Your use of the Services, including any transactions entered into on the platform.
- §Your breach of these Legal Terms or any representations and warranties set forth herein.
- §Your violation of any applicable law, regulation, or third-party right, including intellectual property rights.
- §Any harmful act toward another user of the Services or any third party connected with your platform activity.
We reserve the right, at your expense, to assume exclusive defence and control of any matter for which you are required to indemnify us. You agree to cooperate fully, at your expense, with our defence of such claims. We will use reasonable efforts to notify you of any such claim upon becoming aware of it.
Governing Law & Jurisdictional Framework
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Subject to the mandatory arbitration clause in Section 30, disputes shall be subject to the non-exclusive jurisdiction of the English courts.

Consumers in the European Union retain all rights granted under mandatory consumer protection laws of their country of residence, which cannot be contractually waived.
Dispute Resolution
Step 1 — Internal Resolution
To expedite resolution and control costs, transactional disputes must first be submitted to XB2BX's internal mediation process via support@xb2bx.com. We will work to resolve the matter within 30 days.
Step 2 — Informal Negotiations
If internal resolution fails, the Parties agree to attempt informal resolution for a further 30 days by written notice from one Party to the other, before initiating formal proceedings.
Step 3 — Binding Arbitration
If the Parties cannot resolve a Dispute through the above steps, the Dispute shall be finally settled by binding arbitration under the Rules of the International Chamber of Commerce (ICC). The seat of arbitration shall be London, England. The language shall be English. A single arbitrator will be appointed. The arbitral award shall be final and binding.
Any arbitration shall be conducted on an individual basis only. There is no right or authority for any Dispute to be arbitrated on a class-action basis, or to utilise class action procedures, or to be brought in a purported representative capacity on behalf of the general public or other persons.
Term & Termination
These Legal Terms shall remain in full force and effect while you use the Services.
WITHOUT LIMITING ANY OTHER PROVISION, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES TO ANY PERSON FOR ANY REASON, INCLUDING BREACH OF THESE TERMS OR ANY APPLICABLE LAW. WE MAY TERMINATE YOUR ACCOUNT AND DELETE YOUR CONTENT AT ANY TIME WITHOUT WARNING.
- §User-Initiated Closure You may close your account at any time via account settings. Closure does not affect obligations already incurred or outstanding transactions.
- §Effect of Termination Upon termination, your right to access the platform ceases immediately. Data will be retained per our data retention schedule.
- §Appeals Process Users who believe their account has been suspended or terminated in error may submit a formal appeal within 30 days to appeals@xb2bx.com. Appeals are reviewed by a senior compliance officer independent of the original decision.
- §No Re-Registration If your account is terminated for breach, you are prohibited from registering a new account under any name without our prior written consent.
Services Management
We reserve the right, but not the obligation, to: (i) monitor the Services for violations of these Legal Terms; (ii) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms; (iii) refuse, restrict access to, limit availability of, or disable any Contributions in our sole discretion; (iv) remove files and content that are excessive in size or burdensome to our systems; and (v) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the platform.
Amendments & Updates
XB2BX reserves the right to amend, update, or replace these Terms at any time. For material changes, we will provide at least 30 days' prior written notice via email to your registered account address and/or a prominent notice on the platform. Your continued use of the Services after the effective date of any amendment constitutes your acceptance of the revised Terms.
- §All prior versions of these Terms are archived and available upon written request to policy@xb2bx.com.
- §If any provision is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable; all other provisions remain in full force.
- §No failure or delay by XB2BX to exercise any right or remedy constitutes a waiver. All waivers must be in writing and signed by an authorised XB2BX representative.
Electronic Communications & User Data
Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, and other communications we provide electronically satisfy any legal requirement that such communication be in writing. You hereby waive any rights requiring original signatures or non-electronic delivery under any applicable law.
We maintain certain data you transmit to the Services for performance management purposes. Although we perform regular routine backups, you are solely responsible for all data you transmit or that relates to your activity on the Services. We shall have no liability to you for any loss or corruption of such data, and you waive any right of action against us arising from any such loss or corruption.
SMS Text Messaging
If you opt in to receive SMS communications from XB2BX, message frequency may vary. Message and data rates may apply. To stop receiving SMS messages, reply STOP to any text message from us — you may receive a final confirmation message. For assistance, email policy@xb2bx.com. We are not responsible for delays or failures in SMS delivery caused by third-party carrier issues.
Children's Privacy
XB2BX is a professional B2B marketplace and is not directed at individuals under the age of 18. We do not knowingly collect personal data from minors. If you believe we have inadvertently collected such data, please contact us immediately at policy@xb2bx.com and we will delete it promptly upon verification. If you are a minor, your parent or guardian must read and agree to these Terms prior to your use of the Services.
Do-Not-Track Signals
XB2BX does not currently respond to browser-level Do-Not-Track (DNT) signals, as no universally accepted technical standard has been finalised by the relevant regulatory bodies. We will update this document if a recognised standard is adopted. California residents are informed of this practice in accordance with the California Online Privacy Protection Act (CalOPPA) and CCPA.

Miscellaneous & Entire Agreement
These Legal Terms, together with our Privacy Policy, Cookie Policy, Fee Schedule, Seller Handbook, and any applicable supplemental agreements, constitute the entire agreement between you and XB2BX regarding the platform and supersede all prior negotiations, representations, warranties, or agreements.
- §Severability If any provision is found to be unlawful, void, or unenforceable, it shall be severed with minimum modification, and all remaining provisions remain in full force and effect.
- §No Waiver Our failure or delay to exercise any right or remedy shall not constitute a waiver of that right or remedy.
- §Assignment We may assign any or all of our rights and obligations to others at any time. You may not assign your rights under these Terms without our prior written consent.
- §Force Majeure We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control, including acts of God, strikes, pandemics, or government action.
- §No Agency No joint venture, partnership, employment, or agency relationship is created between you and us as a result of these Terms or use of the Services.
- §Construction These Terms shall not be construed against us merely because we drafted them.
- §Language These Terms are in English. To the extent any translated version conflicts with the English version, the English version shall prevail.
