1. ABOUT XB2BX.COM

XB2BX.com is a business-to-business (B2B) platform that facilitates the sourcing, listing, sale, and distribution of products and related services between registered members globally. The Platform acts as a venue to connect Buyers and Sellers and offers supplemental services, including logistics, warehousing, and order processing, but is not the seller of record for products listed by independent Sellers.

2. USER ELIGIBILITY

Services are available only to individuals or businesses that can form legally binding contracts under applicable law. Without limiting the foregoing, our services are not available to persons under 18 years of age or to suspended members. By registering, you warrant that you are 18 years of age or older and that you are an authorized representative of the business entity listed on your account.

3. ACCOUNT REGISTRATION

Users must register for an account by providing accurate, current, and complete information, including business name, legal contact details, and banking information (where applicable for transaction services). You are responsible for maintaining the confidentiality of your account password and are fully responsible for all activities that occur under your account.

14. USER NOTICE & 39. USER NOTICE

You acknowledge that this document constitutes a legally binding notice regarding the terms and conditions governing your use of the XB2BX Platform and its services. You are responsible for reviewing this notice periodically.

15. APPLICATION AND ACCEPTANCE OF TERMS & 40. ACCEPTANCE OF THE TERMS

By clicking "I Agree" or by continuing to use the services offered by XB2BX, you signify your full application and acceptance of all terms contained within this User Agreement, the Transactions Policy, and any incorporated policies. The terms are accepted upon registration and reaffirmed with every transaction initiated or completed on the Platform.

16. SERVICES PROVIDED BY XB2BX

XB2BX provides market access, payment processing, logistical tools, and various supplemental services designed to streamline B2B e-commerce operations.

41. GENERAL TERMS FOR USERS OF XB2BX & 42. TERMS OF USE & 43. MEMBERSHIP AGREEMENT

This entire document serves as the Membership Agreement between you and XB2BX. It defines the permissible use of the Platform, the rights and obligations of the users, and the liability of XB2BX. Membership status grants you access to specific B2B features, pricing visibility, and transaction support, subject to compliance with this Agreement.

4. USER CONDUCT & 21. USER CODE OF CONDUCT

Users must comply with all applicable laws and regulations and refrain from engaging in fraudulent, misleading, or harmful activities on the Platform. All Users must treat other members and XB2BX personnel with respect. Harassment, discrimination, or abusive language is strictly prohibited and grounds for immediate termination.

20. MEMBERS’ RESPONSIBILITIES

Members must maintain a high standard of professional conduct, promptly fulfill all transactional obligations, ensure payment processing details are current, and cooperate fully with XB2BX during any dispute resolution process.

9. CONFIDENTIALITY AND DATA PROTECTION & 22. CONFIDENTIALITY

Users agree to maintain the confidentiality of non-public information obtained through the Platform, particularly concerning other members, product pricing, and trade secrets. This obligation survives the termination of your account.

23. DATA PROTECTION

XB2BX is committed to protecting your data in compliance with relevant data protection laws. We process personal and business data strictly to provide and improve our services, facilitate transactions, and comply with legal obligations.

24. INFORMATION YOU PROVIDE TO US

We collect and store information you directly provide, such as registration details, product listings, payment information, and communications with other users. You warrant that all information provided is accurate and grant us the right to use it as necessary to operate the Platform.

25. AUTOMATICALLY OBTAINED INFORMATION

We automatically collect information about your usage, including IP address, device information, browser type, and activity logs, to improve the Platform’s security and performance.

5. LISTINGS AND PRODUCT INFORMATION

Sellers are responsible for ensuring that all product listings are accurate, complete, and truthful. This includes clear descriptions, pricing, shipping terms, and adherence to all applicable laws regarding product safety and marketing. Misleading information or unauthorized product listings will result in removal and potential account suspension.

47. PRODUCT LISTING POLICY

Listings must not violate any third-party intellectual property rights. All necessary licenses and permits must be secured by the Seller before listing any regulated products.

46. PRODUCT POLICY AND RETURNS

All products listed must comply with XB2BX’s Product Policy, which prohibits illegal, counterfeit, or restricted items. Returns and refunds are governed by the specific policy agreed upon between the Buyer and Seller at the time of purchase, subject to the Buyers’ Protection Plan (Section 51.d).

8. INTELLECTUAL PROPERTY

All content on the Platform, including text, graphics, logos, and software, is the property of XB2BX or its content suppliers and protected by intellectual property laws. Sellers grant XB2BX a worldwide, royalty-free license to use their product listings, images, and descriptions for the purpose of promoting their products and the Platform’s services.

6. TRANSACTIONS BETWEEN BUYERS AND SELLERS

XB2BX provides the marketplace and processing framework for transactions. All sales contracts are strictly between the Buyer and the Seller. XB2BX does not assume title to any products and is not responsible for the non-performance of either the Buyer or the Seller, though we do offer a Dispute Resolution service.

48. TRANSACTION SERVICES & TERMS & 49. MEMBERS’ TRANSACTION AGREEMENT & RESPONSIBILITIES

XB2BX offers secure payment escrow and processing services. Upon initiating a transaction, the Buyer and Seller form a binding contract. Each party is responsible for strictly adhering to the agreed-upon terms, including payment and delivery timelines.

50. TYPES OF TRANSACTIONS ALLOWED

XB2BX supports various B2B transaction types, including: (a) Fixed Price/Quantity Purchases; (b) Custom/Bulk Orders; and (c) Negotiated Trade Agreements. All must be completed and logged through the Platform’s system.

51. REFUSING OR CANCELLING A TRANSACTION

• a. Before the Seller Ships Your Order: A Buyer may request cancellation, which the Seller may approve or deny. If denied, the Buyer must proceed with the purchase unless the Seller has materially breached the terms.
• b. After the Seller Ships Your Order: Cancellation is generally not possible. The transaction must then be treated as a return governed by Section 46.
• c. Important Deadlines: Disputes and claims must be filed within the period specified by the Buyers’ Protection Plan.
• d. Buyers’ Protection Plan: XB2BX may offer a plan to protect Buyers from non-delivery, significant deviation from the listing, or receipt of counterfeit goods.
• e. Disputes Between Buyers and Sellers: XB2BX will provide mediation services. Decisions made by XB2BX’s Dispute Resolution team are binding on both parties.
• f. Transactions Involving Third Parties: The original Seller remains solely liable to the Buyer for the fulfillment and quality of the order.
• g. Guaranteed Transactions: Transactions where XB2BX, for a premium fee, explicitly warrants certain aspects (e.g., delivery or compliance).
• h. Non-Guaranteed Transactions: The majority of transactions are non-guaranteed; Buyer and Seller assume all risks.

7. FEES AND PAYMENTS & 19. SERVICES FEES

Fees for services, including transaction commissions, supplemental service charges, and membership fees, are charged based on the service used. All payments must be made through the payment methods designated by XB2BX. Users are responsible for paying all applicable taxes associated with their use of the Platform.

Fee structure includes: (a) Transaction Commission (variable based on product category); (b) Supplemental Service Fees; and (c) Membership/Subscription Fees.

44. SELLERS’ RESPONSIBILITIES FOR THEIR SALES

Sellers must: (a) accurately describe and price products; (b) promptly ship orders as agreed; (c) ensure products meet quality and regulatory standards; (d) manage inventory; and (e) cooperate in resolving Buyer disputes.

45. BUYERS’ RESPONSIBILITIES FOR THEIR PURCHASES

Buyers must: (a) ensure sufficient funds are available for payment; (b) accurately provide shipping and contact information; (c) inspect goods upon delivery; and (d) comply with any minimum order quantities or specific trade terms set by the Seller.

28. LOGISTICS SERVICES & TRACKING

All logistics services arranged through the Platform are subject to the carrier's terms. XB2BX provides tracking information as made available by the carrier but is not responsible for transit delays, damage, or loss of goods, unless specified under an enhanced service agreement.

27. FREE COLLECTION

‘Free Collection’ may be offered subject to minimum volume requirements and geographic availability as determined by XB2BX. The collection must be scheduled and confirmed in advance.

29. PRICE ADJUSTMENTS

Prices are final once an order is confirmed. However, adjustments may be necessary for variable costs, such as final freight charges or duties, and must be mutually agreed upon before shipment.

30. VOLUMETRIC WEIGHT FREIGHT DIFFERENCE

If the calculated volumetric weight exceeds the declared actual weight, the resulting freight cost difference will be billed to the party responsible for the inaccuracy.

31. REDISPATCH NOTICE

In the event of failed delivery due to incorrect address information provided by the Buyer or refusal of delivery, the Buyer will be responsible for all costs associated with redispatch, storage, or return of the shipment.

32. REMOTE AREA FEE STATEMENT

Deliveries to locations classified by the shipping carrier as "Remote Areas" will incur an additional fee, which will be calculated and displayed to the Buyer prior to final checkout or invoiced post-transaction.

17. SUPPLEMENTAL SERVICES AND RESOLUTION SUPPORT

XB2BX offers optional supplemental services to assist users with operations. Additionally, we provide mandatory internal resolution support to mediate disputes between Buyers and Sellers.

26. PRODUCT SERVICES

• a. Product Sourcing Service: Assistance to Buyers in identifying suitable products and verifying potential Sellers.
• b. Order Processing Service: Specialized management of complex, high-volume POs.
• c. Store Management Services: Dedicated account support for Seller's digital storefront.
• d. Performance Services: Enhanced analytics and marketing tools for Sellers.
• e. Transportation Services: Coordination of shipping logistics through third-party carriers.
• f. Warehousing Services: Provision of storage facilities and inventory management.
• g. POD (Print-On-Demand) Service: Integrated service for custom product manufacturing and fulfillment.
• h. Register to Become a Distribution Partner: Application process for authorized Distribution Partners.

10. LIMITATION OF LIABILITY & 53. LIMITATION OF LIABILITY

XB2BX's liability for any damages arising out of or related to this Agreement shall be limited to the greater of (a) the amount of fees paid by you to XB2BX in the 12 months preceding the action giving rise to liability, or (b) $100 USD. XB2BX shall not be liable for any indirect, incidental, special, or consequential damages.

33. DISCLAIMER AND LIMITATION OF LIABILITY

The Platform and services are provided "as is" and "as available." XB2BX makes no warranties, express or implied, regarding the accuracy, reliability, or completeness of any content on the Platform or the fitness of products for a particular purpose.

52. LEGAL & COMPLIANCE

Users are solely responsible for compliance with all laws, regulations, and ordinances related to their business operations, product sales, and purchases, including import/export controls, tax obligations, and consumer protection laws.

12. TERMINATION OF USE

XB2BX may, in its sole discretion, terminate or suspend your access to all or part of the Platform with or without notice and for any reason, including, without limitation, breach of this Agreement. Termination does not relieve any User of obligations incurred prior to the termination date.

13. AMENDMENTS

XB2BX reserves the right to amend this User Agreement and Transactions Policy at any time. All amendments will be effective immediately upon posting the revised terms on the Platform.

11. DISPUTE RESOLUTION

Users agree that any claim or controversy arising out of or relating to this User Agreement will be settled by binding arbitration in accordance with the rules of the Governing Law & Jurisdiction.

36. GOVERNING LAW & 54. GOVERNING LAW & JURISDICTION

This User Agreement and all disputes arising out of or related to it shall be governed by and construed in accordance with the laws of The United Kingdom, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in The United Kingdom for any legal action arising from or related to this Agreement.

34. FORCE MAJEURE

Neither party shall be liable for any delay or failure in performance due to events beyond its reasonable control, including but not limited to acts of God, war, terrorism, embargoes, labor disputes, or catastrophic natural disasters.

35. NOTICES

All legal notices or communications regarding this Agreement must be sent by certified mail or commercial courier to the official contact address of XB2BX as listed in Section 55.

37. PARTNERS

XB2BX may leverage authorized third-party partners to provide specialized services. Use of these partner services may be subject to their separate terms and conditions.

38. END OF AGREEMENT & 56. END OF AGREEMENT

This Agreement remains in effect until terminated by either the User or XB2BX. You confirm that you have read, understood, and agreed to all 56 sections of this User Agreement and Transactions Policy.
