Membership Terms
Welcome
These Membership Terms and Conditions govern your access to and use of the XB2BX B2B brokerage platform. By creating an account, you enter into a legally binding agreement with XB2BX LTD.
Definitions
Key Terminology
"Platform" refers to the XB2BX digital marketplace and brokerage tools accessible via xb2bx.com.
"User" refers to any verified business entity or its authorized representative registered on the platform.
"Brokerage Services" refers to the facilitation of trade negotiations and logistics between Users.
Scope of Membership
Membership grants a non-exclusive, non-transferable right to access brokerage listings, post requirements, and utilize our secure communication channels. All members must undergo a mandatory KYB (Know Your Business) verification process to ensure market integrity.
Seller & Buyer Terms
Trade Obligations
Sellers: Sellers warrant that they have legal title to all goods listed and that such goods comply with the descriptions provided. Sellers must maintain accurate stock levels.
Buyers: Buyers warrant that they have the financial capacity to complete transactions. Placing a bid or intent to buy constitutes a binding offer subject to seller acceptance.
Payment & Subscription
Membership may be subject to monthly or annual subscription tiers. Transactional brokerage fees are calculated as a percentage of the total contract value, as specified in your specific Service Level Agreement (SLA) or at the point of trade confirmation.
Shipping & Delivery
Unless otherwise stated via Incoterms within a specific trade contract, the responsibility for logistics, insurance, and customs clearance remains with the transacting parties. XB2BX may offer managed logistics services as a separate add-on.
Returns & Refunds
Returns are governed by the specific Purchase Order (PO) agreed between the Buyer and Seller. XB2BX acts as a facilitator and does not take physical possession of goods or offer standard consumer-style returns. Claims must be filed within 48 hours of delivery.
Dispute Resolution
In the event of a trade dispute, members agree to first undergo a 30-day mediation period facilitated by XB2BX. If unresolved, disputes shall be settled under the laws of England and Wales in the courts of London.
Privacy & Security
We employ industry-standard encryption for all data transmissions. Your corporate data and trade history are processed in accordance with our Privacy Policy and relevant international data protection regulations.
Prohibited Items
Members are strictly forbidden from listing illegal substances, hazardous materials without certified permits, counterfeit goods, or items subject to active international trade sanctions or embargoes.
Intellectual Property
All platform technology, branding, and proprietary data algorithms remain the sole property of XB2BX LTD. Members may not scrape, replicate, or reverse-engineer platform data for external commercial use.
Account Suspension & Termination
XB2BX reserves the right to suspend or terminate accounts for breach of conduct, non-payment of fees, fraudulent activity, or failure to maintain valid corporate documentation (KYB).
Changes to Terms
We may modify these terms at any time. Members will be notified via the platform dashboard or email 30 days prior to major changes taking effect. Continued use of the platform constitutes acceptance of updated terms.
