Overview & Definitions

This Intellectual Property and Data Protection Policy ("Policy") governs all intellectual property rights, data handling practices, and user content within the XB2BX.COM platform ("Platform"), operated by XB2BX Global Technologies Ltd. ("XB2BX", "we", "our", "us"). This Policy applies to all registered users, businesses, guests, partners, API consumers, and any entity accessing or using any part of the Platform worldwide.

Platform Intellectual Property Rights

XB2BX.COM and all of its constituent elements are the exclusive intellectual property of XB2BX Global Technologies Ltd., unless explicitly stated otherwise. This includes, without limitation, the Platform's source code, object code, architecture, user interface designs, visual elements, colour schemes, typography, iconography, data models, algorithms, databases, trade secrets, and all documentation.

All intellectual property rights in the Platform — including copyrights, trademarks, patents (granted and pending), design rights, database rights, and trade secrets — are owned by or licensed to XB2BX. These rights are protected by the laws of England & Wales, the United States, the European Union, and applicable international treaties including the Berne Convention and the Paris Convention.

What You May NOT Do
  • Copy, reproduce, republish, upload, broadcast, transmit, or distribute any part of the Platform or Platform IP without express written permission
  • Reverse-engineer, decompile, disassemble, or attempt to extract the source code of any Platform software
  • Create derivative works based on Platform IP without a written licence agreement
  • Remove, alter, or obscure any copyright, trademark, or proprietary notices
  • Use automated systems (scrapers, bots, crawlers) to extract Platform data outside of the authorised API programme
  • Frame or mirror any content from the Platform on another website or application
  • Sell, transfer, or sublicence any rights to Platform IP

  • Access and use the Platform for its intended commercial marketplace purposes
  • Share public-facing product listings via official share mechanisms provided by the Platform
  • Use the official XB2BX API under a signed API Licence Agreement and within rate limits
  • Reference XB2BX in editorial or academic contexts with proper attribution

SECTION 03

User-Generated Content

Users retain full ownership of all intellectual property rights in content they create and upload to the Platform, including product images, descriptions, company profiles, catalogues, and trade documents ("User Content"). XB2BX claims no ownership over User Content.

By submitting User Content to the Platform, you grant XB2BX a non-exclusive, worldwide, royalty-free, sublicensable licence to host, store, reproduce, modify (for formatting/display purposes only), distribute, and display that content solely for the purpose of operating and improving the Platform. This licence does not grant XB2BX the right to sell your content to third parties or use it for advertising without separate consent.

User Warranties

By uploading User Content, you represent and warrant that:

  • You own all rights to the submitted content or have obtained all necessary permissions, licences, and consents
  • The content does not infringe any third-party intellectual property rights, including copyrights, trademarks, patents, or trade secrets
  • The content does not contain defamatory, misleading, fraudulent, or illegal material
  • Product images and descriptions accurately represent genuine goods or services you are authorised to sell
  • You will promptly notify XB2BX if you become aware of any infringement claim relating to your submitted content

Indemnification NoticeUsers are solely responsible for their User Content and agree to indemnify and hold harmless XB2BX, its officers, directors, employees, and agents from any claims, damages, or expenses (including legal fees) arising from User Content that infringes third-party rights or violates applicable laws.

SECTION 04

Trademarks & Brand Identity

The XB2BX name, logo, wordmark, taglines, and all associated brand elements are registered or unregistered trademarks of XB2BX Global Technologies Ltd. The ® and ™ marks displayed on the Platform indicate trademark registrations and claims in applicable jurisdictions.

Users must not use XB2BX trademarks in any manner that: suggests endorsement or affiliation without written consent; is likely to cause consumer confusion; disparages or damages XB2BX's reputation; or is used in domain names, social media handles, or company names that could constitute passing off or trademark infringement.

Users uploading their own branded content confirm that they hold valid trademark rights to all brand identifiers used, and that such use does not infringe third-party marks. XB2BX reserves the right to remove listings containing contested or counterfeit brand identifiers without prior notice.

Anti-Counterfeiting Commitment

XB2BX operates a zero-tolerance policy toward counterfeit goods. Any listing, offer, or transaction involving counterfeit or unauthorised replica products will result in immediate account termination, removal of all associated content, reporting to relevant law enforcement authorities, and potential civil action. Brand owners may register their trademarks through the XB2BX Brand Protection Programme to receive enhanced enforcement tools.

SECTION 05

Patents & Trade Secrets

XB2BX holds and continues to develop proprietary technology including patent-pending algorithms, data processing methodologies, matching systems, and supply chain intelligence tools. Unauthorised use, reproduction, or exploitation of these patented or patent-pending technologies is strictly prohibited and will be subject to legal action.

Users who disclose proprietary technical information (e.g., through product specifications, manufacturing processes, or RFQ documents) do so under the Platform's standard confidentiality framework. XB2BX will not use such information for any purpose other than facilitating the requested transaction, subject to the Data Processing Agreement.

We act as both a Data Controller (for data we collect directly from users) and a Data Processor (when processing data on behalf of business users). Any interaction with third-party services is entirely at the user's risk and subject to those services' own terms and policies.

Where the Platform incorporates third-party licensed software, open-source libraries, or external APIs, XB2BX ensures compliance with applicable licence terms. A Third-Party Software Attribution Notice is maintained and available at xb2bx.com/legal/attributions.

Users who integrate with XB2BX APIs are responsible for complying with all applicable IP and data protection obligations, including ensuring that any data they retrieve from the Platform is used lawfully and in accordance with this Policy and the API Terms of Service.

DMCA & Copyright Takedown Procedure

XB2BX respects the intellectual property rights of third parties and complies with the Digital Millennium Copyright Act (DMCA), EU Copyright Directive, and equivalent international copyright laws. If you believe that content on the Platform infringes your copyright, you may submit a formal takedown notice.

Notice to UploaderThe user who uploaded the contested content will be notified and given an opportunity to submit a counter-notice within 10 business days, as permitted under DMCA §512(g).

ResolutionIf no counter-notice is received, content will be removed within 14 business days. If a valid counter-notice is filed, we may restore the content unless the complainant initiates court proceedings.

Repeat Infringer PolicyAccounts with three or more valid DMCA strikes within a 24-month period will be permanently suspended. XB2BX maintains records of all takedown notices as required by law.

False Claims WarningSubmitting a DMCA notice with knowledge that the material is not infringing constitutes perjury under US law and may result in liability for damages, costs, and attorney's fees under 17 U.S.C. §512(f). XB2BX reserves the right to seek damages from bad-faith complainants.

Governing Law & Dispute Resolution

This Policy and any disputes arising from it shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. In the event of any dispute, the parties agree to first attempt resolution through good-faith negotiation. If resolution cannot be achieved within 30 days, disputes shall be referred to binding arbitration under the ICC Rules of Arbitration, with proceedings conducted in London, England, in the English language.

Nothing in this clause prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction to prevent irreparable harm arising from IP infringement or data breach.

Policy Updates

XB2BX reserves the right to update this Policy at any time to reflect changes in law, business practices, or Platform features. Material changes will be communicated to registered users via email at least 30 days before taking effect. Continued use of the Platform after the effective date of any update constitutes acceptance of the revised Policy. The version history is maintained at xb2bx.com/legal/policy-history.
